Please read and carefully review these terms and conditions before submitting your order and payment. Submission of a purchase order binds you to these Terms and Conditions and you indicate by your submission of such an order that you have assented to enter this binding agreement between you and Acid DVD.

• Payment:

Payment is due when the order is placed and the media is submitted to Acid DVD. You may pay by Master Card, Visa or by sending a money order or business check with your order. Checks and money orders must be made payable to Acid DVD. You are responsible for any returned check or other bank charges associated with insufficient funds or a hold placed on any form of payment.

• Prices:

All prices are F.O.B. at our studio facility located in Burke Virginia. You agree to pay all transportation and handling charges. You will be invoiced for the actual cost of such charges upon your receipt of the payment. Any tax imposed by any taxing body arising from the sale of these services will be paid by you and will be added to your total. You promise to pay all such charges within thirty days.

• Warranty:

DVD-R media provides a reliable and cost-effective format for data and video recording, distribution, and storage. Acid DVD selects media and equipment which are ordinarily used by professionals in the DVD production industry. Finished media products are checked for physical defects only. Certain older DVD players may not play DVD-R discs. Please check with your DVD player manufacturer. MPEG-2 conversion may produce certain artifacts based on the quality and sample rate of your video source. Acid DVD cannot be held responsible for limitations inherent in the MPEG-2 compression algorithm or that arise from the source quality.

• Cancellation:

Cancellation of orders may be made in writing or by email to norm@aciddvd.com. You will reimburse Acid DVD for all costs incurred up to the date of the cancellation. Reasonable and verifiable reimbursement will be deducted from any refund due to you.

• Intellectual Property Rights:

You represent and warrant that you hold all rights in the intellectual property provided for conversion to Acid DVD. You must either own or properly license the material in order to reproduce it. Acid DVD reserves the right to reject any order for any reason.

Acid DVD acknowledges that you own or license all rights in the video and/or media supplied to Acid DVD for conversion. Acid DVD is granted a limited, terminable, non-exclusive license solely to reproduce and convert the media at your direction. All temporary and transitory copies created during this conversion will be destroyed upon the completion of the project. This destruction will be warranted in writing upon request.

You hereby grant to Acid DVD a limited, world-wide, perpetual license to use, transform and display no more than 120 seconds of the work that you provide to Acid DVD for the purpose of publicly demonstrating Acid DVD's quality conversion services. Acid DVD may, pursuant to this license, create derivative works from such 120 second clips.

• Indemnification:

You agree to indemnify and hold harmless Acid DVD from all claims of intellectual property infringement based on the content of any media supplied by you to Acid DVD. Acid DVD shall hire counsel of its choice and will direct the defense of any such action. All expenses and fees, as well as any damages or settlement ultimately rewarded, will be paid by you on presentment.

• Limitation on Liability:

You agree that Acid DVD, shall under no theory of liability be responsible for the payment of lost profits, business interruption, consequential damages of any kind, or for any damages whatsoever, whether in contract, tort or under any other theory of damages, brought by you either directly or whether claimed by you after suit from any third party to which you seek to join Acid DVD, unless it is found by a court of competent jurisdiction that Acid DVD engaged in intentional, willful or grossly negligent actions, and, if such is found, damages shall be limited to direct damages attributable to such actions and shall be capped at $500.00.
